These Terms & Conditions ("Terms") govern your access to and use of the MaithilOps platform, operated by MaithilTech Pvt Ltd. By signing up, activating an account, or using any feature of MaithilOps, you agree to be bound by these Terms. Please read them carefully.
1. Acceptance of Terms
By accessing or using MaithilOps (the "Service"), you confirm that you are authorised to enter into a binding agreement on behalf of your organisation, that your organisation is a legally registered entity, and that you have read and accepted these Terms.
If you do not agree to these Terms, do not use MaithilOps.
2. Definitions
- "Service" means the MaithilOps cloud ERP and Sales Operations platform at app.maithilops.com
- "Customer" / "You" means the organisation that has subscribed to MaithilOps
- "User" means any individual authorised by the Customer to access the Service
- "MaithilTech" means MaithilTech Pvt Ltd, the provider of the Service
- "Customer Data" means all business data (leads, orders, inventory, invoices) entered by the Customer into the Service
- "Subscription" means the paid plan (Starter, Growth, or Enterprise) the Customer has activated
3. Account Registration
To use MaithilOps, you must create an account with accurate, current, and complete information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Ensuring only authorised personnel access the account
- Notifying us immediately of any unauthorised access at security@maithilops.com
One subscription covers one legal entity. Use by group companies or subsidiaries requires a separate subscription or an Enterprise agreement.
4. Subscription, Payment & Refunds
4.1 Subscription Plans
MaithilOps is offered on monthly or annual subscription plans. Current pricing is published at maithilops.com/pricing. All prices are in Indian Rupees (โน) and are exclusive of applicable GST (currently 18%).
4.2 Billing
- Subscriptions are billed in advance โ monthly on the same date each month, or annually on the anniversary date
- Payment is accepted via NEFT, RTGS, UPI, or credit/debit card through our payment gateway
- A GST tax invoice is issued within 2 business days of each successful payment
4.3 Late Payment
If a payment fails, we will retry for 7 days and notify you via email and WhatsApp. Accounts with outstanding dues beyond 14 days may be suspended (read-only access). After 30 days, accounts may be deactivated. Your data is retained for 60 days after deactivation, during which you can reactivate by clearing dues.
4.4 Refund Policy
We offer a 7-day money-back guarantee for new subscribers on the Starter and Growth plans, no questions asked. After 7 days, subscription fees are non-refundable. Annual plan discounts are non-refundable if the subscription is cancelled before the end of the term.
4.5 Price Changes
We reserve the right to change subscription prices with 30 days' prior written notice. Existing subscribers will be notified via email and in-app notification before any price increase takes effect.
5. Acceptable Use
You agree to use MaithilOps only for lawful business purposes. You must not:
- Use the Service to store, transmit, or process any data that is illegal, fraudulent, or infringes on any third party's rights
- Attempt to reverse-engineer, decompile, or extract the source code of the platform
- Use automated scripts, bots, or crawlers to access the Service in a way that disrupts performance
- Resell, sublicense, or white-label MaithilOps without an explicit written reseller agreement
- Upload malware, viruses, or any malicious code
- Attempt to gain unauthorised access to other customers' accounts or data
- Use the Service to generate, send, or facilitate spam communications
Violation of the Acceptable Use Policy may result in immediate suspension without refund.
6. Intellectual Property
MaithilOps, including all its software, code, design, trademarks, logos, and documentation, is owned by MaithilTech Pvt Ltd and protected under Indian intellectual property law.
We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service solely for your internal business operations during the term of your Subscription.
You may not copy, modify, distribute, sell, or lease any part of MaithilOps, nor may you create derivative works based on it.
7. Customer Data Ownership
Your data is yours. MaithilTech claims no ownership over Customer Data. You retain all rights to your business data entered into MaithilOps.
We process Customer Data only to provide and improve the Service, as described in our Privacy Policy. We will never sell your data or use it for purposes beyond Service delivery.
Data export: You can export your data in standard formats (CSV, Excel, PDF) from the platform at any time. Upon account termination, we provide a 60-day window to download your data, after which it is securely deleted.
8. Uptime & Service Level Agreement
We target 99.9% monthly uptime for the MaithilOps platform. Scheduled maintenance is performed during off-peak hours (typically Saturday 11 PM โ 2 AM IST) with at least 24 hours' notice.
- 99.9%+ uptime: No service credits applicable
- 99.0% โ 99.8% uptime: 10% credit of monthly fee
- 95.0% โ 98.9% uptime: 25% credit of monthly fee
- Below 95.0% uptime: 50% credit of monthly fee
Service credits must be requested within 15 days of the affected period and are applied to future invoices, not refunded as cash. Uptime excludes downtime caused by factors outside our reasonable control (see Section 12).
9. Limitation of Liability
Important: To the maximum extent permitted by applicable Indian law, MaithilTech's total liability for any claim arising from or related to the Service shall not exceed the total subscription fees paid by you in the 3 months preceding the claim.
MaithilTech shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Errors in GST calculations arising from incorrect data entered by the Customer
- Any disruption caused by force majeure events (internet outages, power failures, natural disasters, government actions)
MaithilOps is a tool to assist your operations โ it does not replace the advice of qualified legal, tax, or financial professionals. We are not responsible for your GST filings; you remain responsible for verifying tax compliance.
10. Termination
10.1 Termination by You
You may cancel your subscription at any time from the account settings. Cancellation takes effect at the end of the current billing period. You retain access until then, and your data remains available for 60 days post-cancellation for export.
10.2 Termination by MaithilTech
We may suspend or terminate your account immediately if:
- You materially breach these Terms and fail to cure within 14 days of notice
- You violate the Acceptable Use Policy (Section 5)
- You become insolvent, enter liquidation, or cease business operations
- Continued service would expose us to legal liability
10.3 Effect of Termination
Upon termination, your right to use MaithilOps ceases immediately. We will retain your Customer Data for 60 days, during which you may request an export. After this period, all data is permanently deleted from our systems.
11. GST & Tax Matters
All subscription fees are subject to GST at the applicable rate (currently 18%). You are responsible for providing your correct GSTIN for B2B invoicing. If your GSTIN is not provided, invoices will be issued as B2C without input tax credit eligibility.
MaithilOps provides tools to help generate GST-compliant quotations and invoices based on data you enter. You are solely responsible for verifying the accuracy of GST calculations and for your own GST filings with the relevant tax authorities. MaithilTech is not liable for any penalties, interest, or assessments arising from incorrect GST filings.
12. Governing Law & Dispute Resolution
These Terms are governed by and construed in accordance with the laws of India. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
Before initiating any legal proceedings, both parties agree to attempt good-faith resolution through escalation. Unresolved disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996 with a sole arbitrator appointed by mutual agreement.
